F&P was founded with the goal of providing personal and professional representation to its clients at a fair and reasonable rate. The ultimate goal of all matters should be and is to acheive the best possible solution with as little cost and time as possible.

The members of the firm are also involved in their communities. Thomas Frascella is a former mayor and councilmen of West Windsor Township and was also an adjunct professor at The College of New Jersey. He remains involved in local community affairs, presently chairing on the Upper Freehold Economic Development Committee. Michael Pisauro currently serves as Vice President for the Pennington Business and Professional Association and is also involved in the American Bar Association's Section of Environment, Energy and Resources where he has contributed articles to its newsletters.

THOMAS P. FRASCELLA
Born in Trenton, Mr. Frascella has been a resident of central New Jersey all of his life. He is a former Mayor of West Windsor Township, holding this office from 1993 until 1997. He has over 25 years of legal experience and concentrates his practice in civil litigation matters, including personal injury, contracts, negligence, professional negligence, divorce, matrimonial and domestic disputes, real estate, municipal court and public entity matters. He is a graduate of Seton Hall Law School and holds a Masters in Education from the College of New Jersey and a Bachelor of Arts degree from Rutgers College. Mr. Frascella served as Councilman for West Windsor from 1997 until 1999, and was an adjunct professor at the Graduate School of the College of New Jersey. He has been invited to speak at many honorary functions, including the New Jersey Planning Association and League of Municipalities Convention. He currently serves on the Upper Freehold Township economic development committee as Chairman.

In his 25 years of experience, Mr. Frascella has represented both plaintiffs and defendants in many legal matters. He has acted as counsel assigned by numerous insurance companies and has defended several municipalities in suits arising from tort, contract and zoning issues.

Mr. Frascella is a member of the New Jersey State Bar Association and is licensed to practice in New Jersey, Pennsylvania, the United States District Court for the District of New Jersey, the United States District Court for the Eastern District of Pennsylvania, and is admitted before the United States Supreme Court.

MICHAEL L. PISAURO, JR.
Mr. Pisauro received his Bachelor of Science in Economics from James Madison University and his J.D. from the University of Richmond, T.C. Williams School of Law. He is involved in his community and currently serves as the Vice President for the Pennington Business and Professional Association. He has contributed materials to the newsletters produced by the American Bar Association's Section of Environment, Energy and Resources.

Mr. Pisauro concentrates his practice in all matters involving business and the environment. He represents businesses from their inception, guiding the client in choosing the appropriate form of entity for formation, preparing the necessary operating documents, including by-laws, shareholder agreements, operating agreements; and through the company's growth in negotiating and preparing contracts, employment agreements, as well as representing clients in the lending process. He also represents individuals and businesses in the sale/purchase of companies.

Mr. Pisauro's environmental practice involves representation of non-profit and local groups in the promotion of a better environment. He currently is the registered lobbyist for the New Jersey Environmental Lobby. He has also reviewed draft environmental impact statements and has submitted comments to public agencies on proposed projects.

Mr. Pisauro also brings litigation experience to both the business and environmental practices. He has aided clients whose property had been taken by condemnation by a public authority and, in one instance, the client received almost double the initially offered amount from the public entity.

Mr. Pisauro is a member of the New Jersey State Bar Association, the NJSBA's Environmental Section, the American Bar Association and its section of Environment, Energy and Resources, as well as the Business Law section. He is also a member of the Environmental Law Institute. He is admitted to the bar in New Jersey, Pennsylvania, and the Federal District Court for the District of New Jersey.


PRACTICE AREAS

Environmental Law
New Jersey is the Country's most densely populated state. It will be the first state to reach full build-out if its current land use practice continues. New Jersey has led the response to many important environmental issues and some of the laws it has enacted have eventually formed basis for several federal laws that we know. Given the many challenges facing the State of New Jersey, the Firm is committed to improving our environment through its Environmental Practice.

The Firm's environmental practice is focused on representing entities, groups and individuals seeking to improve our natural environment. It is a multidimensional practice involving traditional environmental law, land use law, energy law, and other areas. The practice takes these areas of law and brings them to bear in litigation, appearance before zoning and planning boards, comments to proposed regulations by the Department of Environmental Protection, and legislation proposed by the Senate and Assembly.

Mr. Pisauro is currently the registered lobbyist for a well-known local environmental group, the New Jersey Environmental Lobby. As a lobbyist, he actively works in the New Jersey State House promoting legislation that will improve the environment and make New Jersey a healthier and better place. In additional to the firm's lobbying efforts, it is prepared to represent and assist environmental and local groups in reviewing and commenting on environmental impact statements for proposed projects. The firm is also in a position to pursue litigation in the courts and, through the administrative process, to enforce environmental rights and protections.

As part of the Firm's commitment to improving the Environment, the Firm is committed to providing quality legal advice in an environmentally friendly manner. Mr. Pisauro is also the author of the firm's blog: Green Pages - NJ.

The beginning of any business starts long before the corporate documents are filed and the tax ID number is received. The attorneys at F&P understand this and help the client work through all of the needs and questions they have has until the business is ready to "open its doors." F&P provides guidance on creating the business plan, selecting the right form of business entity to best meet the client's needs and putting into place the operational documents and contracts necessary to support a smooth running and successful company.

Once the doors have opened the new business still has legal needs. From reviewing vendor contracts to managing the customer who refuses to meet their obligations, F&P has the practical experience to help. This may involve informal negotiations or it may mean seeking the assistance of the court system and everything between. The attorneys at F&P have years of experience in alternative dispute resolution and litigation and the experience to put forth practical and efficient solutions to any problem.

Asset protection is another crucial aspect of running a business. Those assets are, at times, obvious and, at other times, not so obvious. They can include: money and inventory, but can also include intellectual property, market knowledge or key employees. The attorneys at F&P work with its clients to create and to assist in putting into place policies and procedures, employee contracts, non-compete/ nondisclosure agreements and other documents that best meet the needs of the client both now and in the future.


Litigation
Many transactions have a litigation component to them. Indeed, many of our clients seek our services because we offer litigation support and alternative dispute resolution support. All our attorneys are experienced litigators who practice the rules of court, mediation, arbitration and trial procedures.

Almost any type of case can develop into a lawsuit. For instance, a contractual transaction can quickly become a lawsuit in the event of a breach or nonpayment. A real estate deal can become a lawsuit when one party improperly changes its mind or cannot convey clear title. A lawsuit can arise when it is discovered that an employee, who otherwise properly separates from an employer, has removed confidential documents from the worksite. And of course, individuals who are injured by a defective product, in car accidents, slip and falls, or who suffer some other injury due to a third party's negligence, often require litigation support.

Our attorneys have the experience to handle every aspect of litigation, from inception to trial. We also have the experience to handle most types of lawsuits, from the straightforward to the complex. In the event a matter reaches the appellate level, we have experience in the appellate process and the appellate courts as well.

By virtue of our litigation experience, F&P affords each client access to the judicial system and to seek the legal and equitable relief to which they may be entitled.

Employment Law
Our attorneys have experience handling various employment matters for both employers and employees.

We can assist our business clients in developing policies and procedures that manage employer liability exposure. We also provide legal advice and assistance regarding such issues as employee handbook preparation, records retention, privacy issues, workplace disputes, defending discrimination claims, wage disputes, employee contracts, nondisclosure and non-competition agreements, workplace safety, and other matters.

For the employee, we review proposed employment agreements, relocation agreements, separation agreements, and other contracts or documents which potentially affect the client's interests. Family medical leave, wrongful termination, whistleblower protection, salary and benefits disputes are some other matters we resolve for our clients. We also litigate discrimination claims, including:

  1. Americans with disabilities;
  2. Age discrimination;
  3. Discrimination based on race, gender, ethnicity, and other protected classes.
We are positioned to represent both employers and employees in state and federal courts, as well as before applicable agencies such as the EEOC, PHRC and DCR.
Real Estate
The attorneys of Frascella & Pisauro, LLC, have represented numerous clients in selling and buying residential property. We offer attorney review of Agreements of Sale, and can prepare such an Agreement for parties who are not represented by real estate agents. For residential buyers, we generally order title insurance, advise on aspects of homeowner inspections, deal with the financing institution, arrange for surveys, prepare the settlement statement, affidavit of title, and other required documentation, and file various documents with the Court, as necessary. We also attend the closing with the client to ensure his or her interests are properly represented. For sellers of property, we review contracts to ensure the client's legal interests are protected, review the title and help redress any issues, order the required township certificates, prepare the deed and seller's affidavit of title, and otherwise prepare all the necessary documentation required to comply with seller's contractual obligations. Our attorneys attend the closing with the seller to ensure his or her interests are properly represented.

Our attorneys are also experienced in handling commercial transactions, such as the sale or purchase of commercial realty. We also draft and review lease agreements, as well as handle any landlord-tenant disputes, both residential and commercial.

The purchase of a new home or commercial parcel is exciting, yet if not handled properly, can result in substantial aggravation and monetary loss. The attorneys of F&P strive to make the process seamless and uneventful for the benefit of our clients.

The environmental impacts of daily life and doing business are unmistakable. As advocates for environmental responsibility, F&P has taken steps to minimize its contributions to this impact.

By leveraging technology to provide better and quicker service to its clients, F&P reduces the amount of paper generated by the practice of law. Instead of sending paper documents to the client by mail, F&P can use email to electronically deliver PDF copies. This not only reduces the amount of paper used and the amount of fuel needed by the U.S. Postal Service to deliver the document to you, it also gives you almost instant access to the status of your case.

When we do need to send paper copies to the Court, to other parties to the case or for transactions we use 100% recycled paper - again minimizing the impact of paper consumption on our natural resources. Where appropriate or permitted that document is printed on both sides.
